We advise on every commercial aspect over the business, financial, development and commercialisation life cycle of a Hi Tech company. Our clients operate in diverse fields, including financial algorithms, digital printing, telecommunications, media, gaming, components for vehicles, satellite communications, software and semiconductor chips.


    At the seed stage, we advise founders and early stage companies on corporate structuring, technology licensing, founder agreements, employee incentive schemes, tax, obtaining and registering clear chain of IP title, government research and development grants, and, most importantly, preparing and successfully executing fund raising whether from angels or venture capital funds.


    For our clients that are at a more developed stage, we advise on commercialisation of IP, collaboration, technology transfers, joint ventures and strategic alliances, further fund raising, management and exits (whether by way of M&A or an IPO) or growth. The firm is particularly strong acting for Hi Tech companies on their investment structuring at all points of their investment cycle and managing their commercial contracts.


    With respect to our technology-based multinational clients, we act for them on their setting up of local subsidiaries, on all commercial aspects relating to their doing business in Israel as well as on collaborations with, and acquisitions of, Israeli Hi Tech companies. We are also one of the few firms in Israel with experience acting for multinationals on their setting up of government-funded research and development centres.

    • Representing American Industrial Partners LLP, a private American investment fund, and its subsidiary, Presstek Inc., in connection with the acquisition of Vim Technologies Ltd., which is engaged in the field of products for the digital printers industry.  The acquisition was chosen as one of the 50 best acquisitions of the year by Geektimes
    • Representing Coral Reef Technologies Ltd. on all its day-to-day corporate and commercial legal matters, and, in particular, forming two new private equity funds outside of Israel abroad which have raised in excess of US$50 million
    • Representing a syndicate of investors, including Robert Bosch VC GmbH, in a multi-million dollar round of funding in Utilight, an Israeli early-stage developer of new methods of wafer-metallisation for solar photovoltaic (PV) cells
    • Representing Medial Cancer Screening Ltd., a medical device and analytics start up:


    (i) on a US$ 15 million (based on a company pre-money valuation of US$ 80 million), Series A Preferred round financing made by the Chinese VC fund Horizon Ventures (September 2013);

    (ii) on a US$ 5 million Series B Preferred round financing (July 2014); and

    (iii) on all the company's day-to-day corporate and commercial legal requirements (including handling of all the legal matters of the company with suppliers, service providers and employees


    • Representing Voyager Analytics Limited in a Series A Preferred investment financing of US$5 million (based on a company pre-money valuation of US$25 million), in which the main investor was Quest Global Holdings
    • Representing Meetey Internet Solutions Ltd. in two investment rounds both of a pre-money valuation of $8 million as well as representing the Company on all its day-to-day commercial and corporate legal requirements
    • Representing WIX Com. Ltd., an Israeli public company whose shares are listed on Nasdaq traded company, on a number of licensing and acquisition agreements, including a patent licensing and asset acquisition agreement with Infogin Ltd.
    • Representing RSP Fund V LLP, a Japanese investment fund, in connection with its Series C-1 Preferred Shares investment in Doat Media Ltd.
    • Representing Final Group Ltd. on all its corporate and commercial legal issues.  Final is a world leader in the high-frequency trading sector which specialises in the development of trading algorithms and trade execution technology
    • Representing Yeda Research and Development Limited (the commercialisation arm of the Weizmann Institute of Science, one of Israel’s largest and most prestigious research institutions) on all their spin-offs, licensing and venture capital financings of the special purpose vehicles set up to commercialise their inventions
    • Representing VIM Technologies, a company engaged in manufacturing and distributing digital printing plates and related imaging products, in the process of receiving Israel's Chief Scientist grants and in the process of its acquisition by Presstek Inc.
    • Representing Spectranetics Corporation, a world leading manufacturer and supplier of medical equipment for use in minimally invasive interventional procedures, in its acquisition of Upstream Technologies Ltd., an Israeli company which specialises in developing new technologies for the manufacturing of medical equipment
    • Representing AFS Technologies Inc., a company which develops solutions for optimizing the manufacturing and supplying process for the food and beverage industry, in its acquisition of Visicom Ltd., an entrepreneurship company which develops technologies for better use of human resources
    • Representing Blau Capital Ltd. in connection with the establishment on a new private equity and venture capital fund focusing on investments in technology in the financial services sector
    • PCCW Global, a leading worldwide telecommunications provider based in South Africa, in its acquisition of Latto Ltd., a developer and provider of white label over-the-top business management solutions for efficiently monetising online media assets across devices
