    Our Capital Markets practice group has extensive knowledge and experience in representing public and private companies, management, boards of directors and board committees (including special independent and litigation committees) on a full range of matters involving securities offerings, corporate governance, fiduciary duties and compliance and disclosure.


    We represent underwriters and issuers across industries, in IPO's, the acquisition of public shell companies, the raising of debt and equity on TASE, the registration for trade on TASE of foreign corporations, securitization, debt arrangements and private placements including equity line arrangements.


    In addition, we counsel companies on matters involving interaction with the Israeli Securities Authority and TASE, on executive compensation, enforcement programs and interested party transactions, and provide ongoing legal counsel to institutional investors, underwriters, rating agencies and bond trustees.


    As members of our team have worked for leading US and English law firms on both public and private placement of equity and debt securities, we are ideally placed in advising and guiding foreign institutions through the regulatory issues surrounding security offerings and other securities-related matters in Israel within the constraints of foreign securities law implications.

    • Advising UBS and Bank of America on various legal aspects arising from securities offerings in Israel
    • Representing the Israeli Association of Banks before the Goldschmidt Committee, a committee established by the Controller of Capital Markets at the Ministry of Finance, in connection with a proposed regulatory framework relating to the participation of Israeli institutional investors in consortium and syndicated loan transactions, including in the secondary market
    • Advising Credit Suisse, RBC Wealth Management and Millennium Management on various legal aspects arising from securities offerings and investment advice in Israel
    • Advising Merrill Lynch on various legal aspects of providing advisory and discretionary management services regarding a broad range of securities and other investment products to Israeli clients
    • Advising CitiGroup, JP Morgan, Morgan Stanley, Deutsche Bank, Goldman Sachs and Lloyds Banking Group on various legal aspects arising from investment in securities, including offers to employees and provision of investment advice in Israel
    • Advising Barclays Capital, Knight Capital Group and Swiss National Bank in connection with transactions in derivatives and other securities with Israeli entities
    • Advising AQR Capital Management, Wellington Capital Management and Davidson Kempner with regard to mandatory shareholder disclosures and Israeli regulatory reporting requirements
    • Representing Xpert Financing (a financial services investment company) in connection with its special purpose vehicle's issuance of asset backed debentures
    • Representing Paldaz Fund Management and Paldaz Investments in all their trading activities on Israeli and foreign securities markets
    • Forming trading platforms for investors to trade in derivatives and other financial instruments, including for Coral Reef Technologies Limited
    • Representing CityIndex plc in connection with the establishment of an internet trading platform
    • Representing Greenberg Leuw LP on the establishment of an offshore hedge fund and the drafting of a prospectus and private placement memorandum pursuant to Regulation S of the Exchange Act in connection with the sale of units in that fund
    • Advising Barclays Capital on Israeli securities and capital markets laws arising from Barclays Capital acting as lead book runner on equity transactions, including primary (IPO), secondary (e.g. rights issue, placing or block trades) and buy back transactions in Israel
    • Representing two major Israeli financial institutions, Bank Leumi and Bank Hapoalim, in connection with the drafting and submissions of a prospectus for TowerJazz Ltd. and registration of securities held by these institutions in TowerJazz
