Shlomi specializing in corporate and commercial transactions. His practice focuses on mergers and acquisitions, joint ventures, project financing, construction and development, energy and infrastructure, private equity, equity investments, corporate structuring, founder agreements, real estate, insolvency, and government procurement contracts.

Shlomi represents a diverse clientele, including financial institutions, multinational corporations, private and public companies, government entities, non-profit organizations, private equity funds, and real estate and infrastructure investment funds. In his tender and government procurement practice, he provides comprehensive counsel to bidding vehicles, consortia, investors, and tender issuers throughout all stages of the procurement process, from strategy development to final execution.

Throughout his career, Shlomi has led and been deeply involved in numerous significant transactions, including some of the most complex project financing and development deals in Israel. His experience spans light railways, electric power stations, desalination plants, and other energy and infrastructure projects. His expertise also extends to substantial real estate and receivership proceedings.

Notable Representations

  • Represented Minrav Group, a public company listed on the TASE in the engineering and construction sector, in its NIS 750 million acquisition via a reverse triangular merger by a group of investors led by private equity fund Essence Partners.
  • Represented joint ventures and EPC contractors in various light railway projects, including acting for a joint venture of Minrav and Electra as EPC members in the Haifa-Nazareth (Nofit) Light Railway Project, representing the EPC contractor (a joint venture of Danya Cebus and Dan) in the Blue Line Jerusalem Light Rail Project, and representing Electra as an EPC member in the complex NTA Green Line Project (connecting Herzliya and Rishon LeZion).
  • Represented a syndicate of lenders led by Mizrahi-Tefahot Bank in a complex refinancing transaction exceeding NIS 1 billion.
  • Represented the Israel Infrastructure Fund (Israel’s largest infrastructure private equity fund) in various transactions
  • Represented IBI Investment House and Israeli producer Guy Hameiri in facilitating IBI’s partnership with Fremantle, a renowned London-based content producer and distributor
