Amir Assali is a partner at S. Horowitz and head of the capital markets department at the firm.

Amir has comprehensive and extensive knowledge and experience in representing entities supervised by the Israel Securities Authority, with emphasis on public companies traded on the Tel Aviv Stock Exchange, operating in various fields of activity.

Amir’s representation includes, among other things, accompanying Pre-IPO investment transactions, initial public offerings (IPO), capital and debt raising in the secondary market on the Tel Aviv Stock Exchange, control acquisition transactions and going-private transactions, reverse merger transactions into shell companies, tender offers, private placements and providing opinions and representation in preliminary proceedings with the Israel Securities Authority

Amir also advises managements, boards of directors and their various committees including advising special independent committees, accompanying interested party transactions, handling executive compensation including equity compensation, enforcement programs, various corporate governance aspects, and implementation of disclosure and reporting obligations.

  • Representing Apollo Power Ltd. in public and private equity offerings, including rights offerings, with an aggregate value of tens of millions of NIS;

  • Representing Yesodot Etanim in public equity and debt offerings, including through pledging of surplus from entrepreneurial real estate projects, with an aggregate value exceeding of tens of millions of NIS;
